These Terms of Service ("Terms") govern your use of PayFly, a one-click invoice payment platform operated by Wilk Industries LLC ("Company," "we," "us," or "our"). By creating an account or using PayFly (the "Service"), you ("you," "User") agree to these Terms.

## 1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy and Refund Policy, incorporated herein by reference. If you do not agree, do not use the Service.
## 2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By registering, you represent and warrant that you meet these requirements.
## 3. Description of Service
PayFly is a one-click invoice payment platform for freelancers and solopreneurs. Users can create invoices, send payment links to clients, and receive payments by card. The Service integrates with Stripe, Inc. ("Stripe") for payment processing. We do not directly handle, hold, or transmit funds — all payment processing is performed by Stripe.
## 4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during registration and to update it as needed. We may suspend or terminate accounts that violate these Terms.
## 5. Fees and Billing
We charge a transaction fee of 1% of each payment processed through the Service, in addition to Stripe's payment processing fees. Fees are deducted automatically at the time of transaction processing. You are responsible for reviewing and agreeing to Stripe's applicable fees, which typically range around 2.9% + 30c per transaction for standard card payments. We may change our fee structure upon reasonable notice. Fee changes do not apply retroactively to transactions already processed.
## 6. Stripe Integration and Payment Processing
The Service uses Stripe as its sole payment processing provider. By using the Service, you acknowledge and agree that:
- (a) Stripe processes all payments, and Stripe's terms of service, privacy policy, and applicable banking regulations govern the processing, holding, and disbursement of funds.
- (b) We do not hold, receive, or transmit any funds. All funds are processed, held, and disbursed by Stripe subject to Stripe's own policies.
- (c) You must maintain a valid Stripe account in good standing to use the Service.
- (d) We are not responsible for any actions taken by Stripe, including but not limited to account freezes, holds, terminations, or fund withholding.
- (e) Bank account details, card information, and other sensitive financial data are collected and stored by Stripe — not by us.
## 7. Payment Processing Limitations
You acknowledge that:
- (a) The Service depends on Stripe's infrastructure and may be unavailable or delayed due to Stripe outages, maintenance, or issues beyond our control.
- (b) We are not liable for payment failures, delays, rejections, or errors caused by Stripe, the payer's bank, card networks, or any third-party financial institution.
- (c) We do not guarantee that any payment will be successfully processed, settled, or deposited within a specific timeframe.
- (d) Transaction approvals and declines are determined by Stripe and the relevant card networks, not by us.
- (e) We reserve the right to suspend payment processing for any User whose Stripe account is suspended, restricted, or terminated.
## 8. Chargebacks and Disputes
You acknowledge and agree that:
- (a) Chargebacks, disputes, and payment reversals may be initiated by a client through their card issuer or bank, independent of the Service.
- (b) We are not responsible for chargebacks and cannot reverse, contest, or influence a chargeback decision made by a card issuer or Stripe.
- (c) You are responsible for resolving disputes directly with your client. We may provide transaction records upon reasonable request.
- (d) If a chargeback results in a reversal of funds, the 1% PayFly transaction fee already collected is non-refundable.
- (e) Repeated or excessive chargebacks may result in suspension or termination of your account.
## 9. No Liability for Payment Failures Beyond Our Control
To the maximum extent permitted by law, we are not liable for any payment failure, delay, error, or loss arising from causes beyond our reasonable control, including but not limited to:
- (a) Stripe outages, errors, or account actions;
- (b) Card network or bank failures;
- (c) Internet or telecommunications disruptions;
- (d) Force majeure events;
- (e) Client-side errors or insufficient funds;
- (f) Regulatory or legal actions affecting payment processing.
## 10. Acceptable Use
You agree not to:
- (a) Use the Service for any illegal purpose or in violation of any law;
- (b) Create invoices for goods or services that are illegal, fraudulent, or misleading;
- (c) Use the Service to process payments for prohibited industries under Stripe's terms, including but not limited to gambling, adult content, or weapons;
- (d) Attempt to circumvent, reverse-engineer, or interfere with the Service or Stripe's systems;
- (e) Submit false or misleading invoice information;
- (f) Harass, abuse, or defraud any other User or third party.
## 11. Intellectual Property
The Service, including its design, branding, software, and content, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during the term of these Terms. You retain all rights to the invoices and content you create using the Service.
## 12. User Content
You are solely responsible for the content of your invoices, including accuracy, legality, and completeness. We do not review or verify invoice content and are not liable for any disputes arising from invoice content.
## 13. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
## 14. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to the Service shall not exceed the total fees paid by you to us in the six (6) months preceding the event giving rise to the claim. In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages.
## 15. Indemnification
You agree to indemnify and hold harmless Wilk Industries LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your invoices, your violation of these Terms, or your violation of any third-party rights.
## 16. Termination
We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ends immediately. You may close your account at any time by contacting us. Provisions that by their nature should survive termination — including fees, liability, indemnification, and dispute provisions — shall survive.
## 17. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York and applicable United States federal law. Any dispute shall be resolved in the state or federal courts located in New York County, New York.
## 18. Changes to These Terms
We may update these Terms from time to time. We will provide notice of material changes. Continued use of the Service after changes constitutes acceptance of the updated Terms. The "Last updated" date at the top reflects the most recent revision.
